Directors & Officers Insurance Policy

Directors and officers liability insurance, often referred to and “D&O cover”, is an insurance payable to the directors and officers of a company or organisation in the event of legal action brought for alleged wrongful acts in their capacity as directors and officers.

The coverage of such policies can vary depending on the individual policy wording; however it can extend to cover defence costs arising from criminal and regulatory investigations. It is important to be aware that intentional illegal acts are typically not covered under directors & officers insurance policies.

Who needs Directors and Officers Liability Cover?

Whilst many businesses are covered under various business insurances such as public liability insurance, employers liability insurance and product liability, the individuals who work within the company are often left exposed to claims if they act improperly within their role.

Directors and partners of a company have responsibilities above and beyond other employees of the firm, with these responsibilities sometimes exposing the individual to personal liability for actions they make which may affect the company as a whole. This can leave them subject to claims which can then lead on to fines, compensation and even prison sentences.

Any company with a director or officer (or other leadership figure) would find D&O insurance to be a good defence against personal liability claims and the cost of financial compensation. Here at Erskine Murray, we understand the different duties of corporate directors and can source the right cover to mitigate the risks for your business. We use a variety of information to help us find the right level of cover for you, including the company turnover, business activities, your sector, the number of employees and more.

What does a Directors and Officers Insurance Policy Cover?

Erskine Murray acts as a broker, working with a wide range of insurance providers, so we do not have one specific policy to work with. A typical Directors’ and Officers’ insurance policy will include the following:

  • Up to £5m Directors and Officers Liability Insurance
  • Past, present and future Director or Officer covered as insured persons
  • Any One Claim settlement basis
  • Employment practices liability cover
  • Liability insurance cover for the company
  • Broad definition for actual or alleged Wrongful Acts
